What a nominee director in the USA means on the entity

A nominee director is the US resident whose name sits on a company's formation documents on behalf of the person who runs the business. For a merchant account, that is the director the acquirer runs its background check on: the name on the articles and the EIN letter, the signer on the operating agreement. On both plans the setup fee is paid once at acquisition and the ongoing fee starts 30 days after delivery, which leaves a full month for acquirer onboarding before the meter runs. Payment is in USDT or USDC on ERC20 or TRC20. Optional add-ons: bank pages ($2,499 one-time), merchant account consulting ($899 per month) and a document template pack ($499 one-time). Three conditions come with the director, and they are enforced.
- Activate within 30 days. An idle package can be reclaimed and reassigned; the setup fee is not refunded.
- Classify honestly. Subscription-heavy billing belongs on Grey Hat; a misclassified package is suspended.

Red flags in nominee director offers elsewhere

- A reused nominee. The same director listed across several merchants or advertisements. Acquirers cross-reference directors; a terminated MID on that name follows you.
- An unreachable director. A name and a scan, but nobody to answer the bank's or the acquirer's verification call. The verification call is where such files fail.
- A stolen or borrowed identity. Documents that belong to someone who never agreed to be a director. The structure is fraud, and it fails the moment a bank checks.
- A shell in a state where nobody lives. A Wyoming filing with a director whose ID is from elsewhere, or no director at all. Underwriters read the mismatch on sight.

Does the nominee director appear on the formation documents and the EIN?
Yes. The director is named on the articles of the LLC or C-Corp, signs the operating agreement, and the EIN confirmation letter carries the entity and the director's name. The same person's ID and proof of address are in the file, and the same person opens the bank account. One name across every document is what an underwriter looks for.
Which state is the company incorporated in?
The director's home state, the one on their driver's license and proof of address. IBOCore never incorporates in Wyoming or another state where nobody involved lives; acquirers read that as a shell. The state of formation, the director's address and the bank account then tell the same story.
Is the nominee director exclusive to me?
Yes. One merchant, one director. The director has never been used for another merchant, has no prior processing history, and is not reused after you. Acquirers cross-reference director names across applications; exclusivity is what keeps your file free of someone else's terminated MID.
Can I get the nominee director without the company or the bank account?
No. IBOCore does not sell a stand-alone director or signer. The director, the entity incorporated in their state, the EIN, the bank account and the documents are built together so that every element matches; separating them is exactly what creates the mismatches acquirers decline. How is a nominee director different from a registered agent?
A registered agent is the statutory address that receives official mail and service of process for the entity in its state of formation. A nominee director is the person who holds the director title, signs the operating agreement and the bank and processor paperwork, and answers verification calls. A merchant account needs the director; the agent alone opens nothing.
Which businesses are refused for a nominee director?
Adult content and cam, online gambling, pharmacy and prescription products, firearms and ammunition, crypto exchanges and custody, and anything fraudulent. These are refused at purchase.
